Professional Information


Eve Y. Tsai specializes in construction law and dispute resolution. In her construction law practice, she advises leading international companies on large-scale, complex construction and infrastructure projects in Taiwan. She has extensive experience with various EPC (engineering, procurement, and construction) projects, including initial plant establishment, expansions, post-incident restoration work, EPC contracts, Subcontractor contracts, and Operation & Maintenance contracts.

In her dispute resolution practice, Eve represents clients in complex civil and criminal cases. Her experience includes trade secret theft, a high-profile food safety matter, disputes between corporate executives and investors arising from an unsuccessful tender offer, and negotiations for multi-billion-dollar insurance indemnities related to property damage and business interruption. Additionally, she assisted in an arbitration on behalf of a U.S.-listed company in San Francisco, providing legal analysis on delayed equity closing from the perspective of Taiwan law.

Her corporate advisory experience includes assisting a Taiwan-listed company and a foreign company to successfully complete their respective IPO on the Taiwan Stock Exchange and Taipei Exchange, and assisting a well-known Taiwanese life insurance company in various fund investments and a PIPE transaction for SPAC on NASDAQ, etc. Eve also helped a US corporation to acquire assets from a Taiwanese target.

Eve is a member of the Taipei Bar Associations and is fluent in Mandarin Chinese, Taiwanese and English.

Experience


Power & Sustainable Resource Management

  • Advised the world’s largest independent power producer in a power plant expansion project in Taiwan.
  • Provided contract drafting and legal consultation for a leading water and wastewater management company on EPC (engineering, procurement and construction), DBO (design, build and operate), BOO (build, own and operate) and O&M (operation and maintenance).
  • Advised the world’s largest independent power producer in a floating solar energy project in Taiwan.
  • Advised Client on restoration work for a power plant following a blast, including customization of an EPC agreement and related contractual disputes.

Dispute Negotiation & Resolution / Litigation / Arbitration

  • Represented a premier manufacturer of industrial cutting equipment in both civil and criminal litigations related to trade secret theft.
  • Represented one of Taiwan’s largest food manufacturers in a civil litigation case pertaining to food safety.
  • Represented Client in a criminal litigation case against a public company, concerning allegations of breach of trust.
  • Represented Client in negotiations with insurance companies regarding a multi-billion-dollar indemnity for property damage and business interruption.
  • Represented a director of a well-known Taiwanese gaming company in handling a civil litigation arising from an unsuccessful tender offer.
  • Assisted in an arbitration case of an U.S. listed company in San Francisco, and provided legal analysis derived from delayed closing of equity from the perspective of Taiwan law.
  • Represented a well-known food manufacturer in a trademark invalidation litigation.

Capital Markets

  • Advised a U.S.-based large venture capital firm to glide through the IPO process of its first Taiwan-based portfolio company.
  • Advised the first SaaS cloud software service provider in its IPO on Taipei Exchange.
  • Advised a mobile phone game developer in its Hong Kong IPO listings.
  • Assisted a reputable Taiwanese life insurance company in various fund investments, a preferred stock investment in a Delaware company and a PIPE transaction for SPAC on NASDAQ.

Merger & Acquisition

  • Advised a leading ESG company on a joint venture and equity investment in Taiwan.
  • Advised one of the largest e-commerce company in the world in acquiring IoT assets from a Taiwanese company.
  • Advised an S&P 500 company in establishing a new Taiwanese subsidiary and its subsequent merger with a local Taiwanese company.
